1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of the PayDoc marketing website located at www.pay-doc.com (the "Site"), operated by Luxutor and its affiliates ("PayDoc," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

These Terms apply only to the marketing website. They are not a subscription agreement, platform license, business associate agreement, data processing agreement, or managed service agreement. Separate agreements govern any commercial relationship with PayDoc.

2. Use of This Website

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Site in any way that violates applicable federal, state, or local laws or regulations;
  • Submit false, misleading, or inaccurate information through any form on the Site;
  • Submit any Protected Health Information (PHI) or other sensitive personal health information through the Site's public forms;
  • Transmit any spam, unauthorized advertising, or unsolicited communications;
  • Attempt to probe, scan, or test the vulnerability of the Site or any related system;
  • Interfere with or disrupt the integrity or performance of the Site;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to terminate or restrict your access to the Site at any time, for any reason, without notice.

3. Intellectual Property

The Site and its entire contents — including text, graphics, logos, product descriptions, design assets, software, and other materials — are owned by or licensed to Luxutor and its affiliates and are protected by United States and Florida intellectual property laws.

You may view and print pages from the Site for your own personal, non-commercial informational use, provided you retain all copyright and other proprietary notices. You may not reproduce, distribute, publicly display, create derivative works from, or otherwise use any content from the Site for commercial purposes without our prior written consent. "PayDoc" and related marks are trademarks of Luxutor. Unauthorized use of any marks is prohibited.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PAYDOC, LUXUTOR, AND THEIR RESPECTIVE AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING WITHOUT LIMITATION LOSS OF REVENUE, PROFITS, DATA, BUSINESS, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00). 8. Indemnification

You agree to defend, indemnify, and hold harmless PayDoc, Luxutor, and their affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Site, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

9. Governing Law and Venue

These Terms and any dispute arising out of or related to your use of the Site shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws provisions. You consent to the exclusive jurisdiction of the state and federal courts located in the State of Florida for the resolution of any such dispute, and you waive any objection to venue in those courts.

10. Dispute Resolution

Before initiating any formal legal proceeding, you agree to contact PayDoc at the address below and provide a written description of your dispute. We will attempt to resolve disputes informally within thirty (30) days of receiving written notice. Nothing in this section prevents either party from seeking emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending dispute resolution.

11. Severability; Waiver; Entire Agreement

Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of PayDoc to be effective.

Entire Agreement. These Terms constitute the entire agreement between you and PayDoc with respect to your use of this marketing website and supersede all prior or contemporaneous communications regarding such use. They do not govern any platform, managed service, or commercial relationship, which requires a separate written agreement.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Your continued use of the Site after any update constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
